Preamble

These Terms and Conditions are available on the site www.concierge-vip.com and are systematically transmitted when signing a subscription contract or a quote. Consequently, any order placed by the customer endorses without limitation or qualification, these Terms and Conditions of Sales which prevail over any other general or special conditions not specifically approved by CONCIERGE-VIP, the customer being a business or an individual.

CONCIERGE -VIP reserves the right to modify terms and conditions at any time. In this case, the conditions will be those in effect at the date of the order by the customer.

Article 1 - Services

The main mission of the company CONCIERGE-VIP is to deliver advice and services to its corporate and residential customers in order to help manage their daily lives, either directly through the delivery of services not requiring special skills, or through qualified professionals.

In the latter case, CONCIERGE-VIP acts as a mere intermediary in the relations between customers and suppliers of products and services. The customer who will be put in touch with the service providers should consult their Terms & Conditions and agree expressly.

Article 2 - Tailored Services and Subscriptions

CONCIERGE-VIP services are available to businesses and individuals on demand or via a subscription.

Tailored Services

CONCIERGE-VIP offers timely access to tailored services, initially subject to a quote.

Subscriptions

CONCIERGE-VIP services are also accessible through a subscription.

Three subscription packages are available for individuals.They entitle to different levels of service:

a) Subscription to the offer "My First Privilege" entitles to one year unlimited access to CONCIERGE-VIP private concierge services from Monday to Friday from 9am to 7pm, excluding holidays. 
The subscription "My First Privilege" is charged 1800 EUR including VAT per year and is linked to a 12-month commitment, equivalent to 150 EUR including VAT per month.

b ) Subscription to the offer "My First Prestige" entitles to one year unlimited access to CONCIERGE-VIP private concierge services from Monday to Sunday from 8 am to 9pm, including holidays
The subscription "My First Prestige" is charged 3600 EUR including VAT per year and is linked to a 12-month commitment, equivalent to 300 EUR including VAT per month.

c ) Subscription to the offer "My Favourite" entitles to one year unlimited access to CONCIERGE-VIP private concierge services from Monday to Sunday from 8 am to midnight, including holidays.
The subscription"MyFavourite" is charged 5400 EUR per year and is linked to a 12-month commitment, equivalent to 450 EUR per month including VAT.

Two subscription packages are available for businesses. They entitle to different levels of service:

a) Subscription to "My First Business" entitles to one year unlimited access to CONCIERGE-VIP private concierge services from Monday to Friday from 8 am to 8pm, excluding holidays
The subscription "My First Business" is charged 2400 EUR including VAT per year and is linked to a 12-month commitment, equivalent to 200 EUR including VAT per month.

b ) Subscription to the offer "My Best Business" entitles to one year unlimited access to CONCIERGE-VIP private concierge services from Monday to Friday from 8 am to midnight, including holidays.
The subscription "My Best Business" is charged 6000 EUR including VAT per year and is linked to a 12-month commitment, equivalent to 500 EUR including VAT per month.

CONCIERGE -VIP reserves the right to revise its prices at any time.

Registration and terms of use

Each subscriber guarantees that the information communicated is accurate, sincere and consistent with reality. Any missing information may delay the validation of the subscription. CONCIERGE-VIP can not be held responsible for the consequences of any incorrect or misleading information provided. Any change of personal data should be communicated, as soon as possible.

Once a subscription is activated, the subscriber can send their requests by any means : phone, email, through the website or mobile application available.

For verbal requests involving services billed in excess of 100 EUR, the written approval of the subscriber may be required by CONCIERGE-VIP to to validate a request. Subscriber therefore expressly agrees that electronic documents (emails, SMS, recordings ...) can be used as evidence.

Requests sent to CONCIERGE-VIP must respect the legal and ethical framework and not be contrary to morality.
In case of non-compliance, CONCIERGE-VIP reserves to right to not comply with the request.

Requests will be processed as soon as possible given the type of services required.

All requests or orders are subject stocks or services available from the supplier and service provider. In case of unavailability of the ordered product or service, alternative solutions will be offered. They will be implemented upon receipt of a written agreement returned by the customer. In the event that no alternative would be found or accepted by the customer within five business days, CONCIERGE-VIP will proceed to the cancellation of the order. No compensation of any kind will be the responsibility of CONCIERGE-VIP towards the customer in such a case.

If the supplier is unable to make a delivery in strict accordance to the customer's request, customer will be responsible for obtaining direct reimbursement from the supplier. The benefit of the order is personal to the customer and can not be transferred for the benefit of a third party.
Any modification or cancellation of the order made by the customer must be received within a maximum of 48 working hours to be considered by CONCIERGE-VIP which will assess the case according to the nature of the goods or services. In any event, any modification or cancellation of order by the customer is subject to express acceptance of CONCIERGE-VIP (except within withdrawal period). Assuming CONCIERGE-VIP refuse to make the change or cancellation of the order requested by the customer, the price of the order remains due by the customer and any amounts already paid (deposits...) would not be returned to the customer in any case.

Failure to use any services associated with a subscription shall not entitle to a refund of the subscription.

Article 3 -  Delivery

Delivery by CONCIERGE-VIP of products ordered by the customer does in no case allege that the sale or manufacture of products delivered are performed by CONCIERGE-VIP who only acts as an intermediary in relations between customers and suppliers.

Despite the care taken to strictly comply with the agreed time-scale, CONCIERGE-VIP can not be held responsible for damage or injury caused by a delay in the delivery of a product or service. Non-compliance with the deadlines agreed will not result in any compensation of any kind from CONCIERGE-VIP.

Article 4 - Cancellation Policy

Subscriptions : (remote only)

In accordance with Article L121-20 of the Consumer Code, the subscriber has a period of fourteen (14) days to assert his right to withdrawal from CONCIERGE-VIP as from the day after the CONCIERGE-VIP membership is confirmed. When this period expires on a Saturday, Sunday or bank holiday, it is extended to the next business day. This right to cancel is free of charge with no questions asked..
This waiver will lead to a full refund of the subscription that has already been paid and for which no services have been started.

Services or Sales

The individual customer and some small businesses have a period of 7 days to exercise their right of withdrawal from the supplier only, not with CONCIERGE-VIP, and this from the receipt of the goods, or acceptance of the offer for services. When the 7-day period expires on a Saturday, Sunday or bank holiday, it is extended to the next working day.
This right of withdrawal may be exercised without having to give any reason or pay penalties, except, where applicable, the cost of returning the goods. It may lead to either an exchange or a refund from the supplier exclusively.

This right of withdrawal does not apply to tourism related services, or to goods made to the consumer's specifications or clearly personalized or goods that in nature can not be returned or are liable to deteriorate or expire.

Article 5 - Payment Terms

Service prices are quoted in Euro currency inclusive of all taxes (EUR incl. VAT) and are charged based on the rates in effect at the time of validation of the order by the customer.

Payment terms for non-subscriber customers

Services requested by non-subscriber customers will be subject to 50% deposit when order is placed , payable 48 hours before the performance of the service, except if CONCIERGE-VIP expressly applies a waiver to facilitate the delivery of a service .

They must be paid in full prior delivery by bank transfer, direct debit, PayPal or by credit card via secure payment as described below.

Our credit card payment facility has SSL 2.0 (secure, socket layer) that encrypts, with a key of 128 bits, the customer's bank card number.

All attempts at credit card or debit card fraud, forgery... will result in the prosecution of those who tried to deceive our services.

Payment terms for individual subscribers

The subscriber will pay a monthly subscription charged via PayPal or credit card on the 5th of each month.

In addition, subscriber will pay directly any suppliers or service providers in accordance to their usual payment terms and conditions.

Payment terms for corporate subscribers

It is up to the company having purchased a "Business Subscription" to settle the total amount of the annual subscription. As part of a membership for these customers, all goods or services requested by a business customer, must be paid directly by the customer upon delivery, a detailed invoice having been received.

Penalties for delay

Late payment penalties are applied either by CONCIERGE-VIP at the rate of 12%, or by the provider concerned on the basis of their own Terms and Conditions. All professionals (excluding individuals) subject to the rules on payment deadlines set out in the Commercial Code shall pay a compensation of 40 EUR (art. 441-5 D. C.Com) when paying an invoice after the agreed payment deadline.

Article 6 - Termination or tacit renewal of a subscription

The termination of a subscription is to be requested one month before contract expiry or renewal by registered post
Otherwise, the subscription will renew automatically for the same duration and under the conditions laid out by article L 136-1 of the Consumer Code "The professional service provider informs the consumer in writing, by registered letter or electronic mail dedicated at earlier than three months and no later than one month before the end of the period permitting the release of the agreement, the right not to renew the contract entered into with a tacit renewal clause. This information delivered in clear and understandable terms, mentions in an apparent box, date cancellation limit. When this information has not been addressed to him in accordance with the first paragraph, the consumer may terminate the contract for free at any time from the date of renewal. The advances made after the last renewal date or in the case of permanent contracts, after the date of conversion of the initial fixed term contract, in this case are repaid within thirty days from the date of termination , less the amounts corresponding to the part in the contract. A loan default as provided above, the amounts due shall bear interest at the legal rate. The provisions of this Article shall apply without prejudice to legally submit certain contracts to special rules regarding consumer information. The three preceding paragraphs do not apply to operators of drinking water and sanitation services. They are applicable to consumers and non-professionals"
Upon termination, the subscriber remains liable for the amount of membership remaining for its minimum duration (one year) and the amount of all outstanding invoices. There will be no refund.

In case of non-payment by the subscriber of its adherence to agreed deadlines, CONCIERGE-VIP will either cancel, suspend or proceed with the termination of the membership agreement without prior notice and without any compensation of any kind.

Article 7 - Responsibilities and guarantees

CONCIERGE-VIP is required to implement all necessary means to achieve the objectives of delivering the services requested.

 It is up to the customer to prove the fault of CONCIERGE-VIP before any questioning of responsibility, CONCIERGE-VIP is not subject to a single bond means, to the exclusion of any obligation of result. In no event CONCIERGE-VIP can be held responsible when there is fault, negligence, omission or failure from the part of the provider or supplier.

In any event, CONCIERGE-VIP can not be held responsible for the breach of contract in case of force majeure as defined by the Civil Code, including cases of total or partial strike, flood, fire, computer crash etc ... (non exhaustive).

CONCIERGE-VIP will under no circumstances be held responsible for indirect damages or harm from a third party, or any actions by a third party in regards to the customer or consequences related to services of products.

Moreover, despite a strict selection of providers, CONCIERGE-VIP does not guarantee the quality or continuity of the provision of the provider or supplier even when issuing letters of complaint.

Article 8  - Intellectual property

All CONCIERGE-VIP elements of the site are and remain the exclusive intellectual property of CONCIERGE-VIP. Nobody is allowed to reproduce, use, repost, or use for any purpose whatsoever, even partially, the elements of the site.

Any single link or hyperlink is strictly prohibited without the express written consent of CONCIERGE-VIP.

Article 9  - Personal data

CONCIERGE-VIP is committed to scrupulously respect the trust customers gives it correlates with its ethics and deontology

The information that the client communicates to CONCIERGE_VIP is used to run its services and deal securely. The treatment of the customer's personal data are processed by CONCIERGE-VIP committed to ensuring an adequate level of protection of information to ensure respect for privacy and freedoms of fundamental rights.
The customer is informed that his bank data will be kept for a period of twenty four months (24) months required for the fight against payment fraud. This data, however, is encrypted and stringent security measures are taken for its protection.

In accordance with the Data Protection Act, the customer has the right to access, modify and delete data concerning him (Articles 38 to 40 of the Data Protection Act of 6 January 1978). The customer may not object to the processing of personal data for legitimate reasons. Except opposition from the customer, CONCIERGE-VIP and its partners are likely to communicate by e-mail, offers for products and services, advertising messages referred and information about the services offered by CONCIERGE-VIP and its partners.

The processing of information, including address management e- email client site has been declared to CNIL April 21, 2015, registered under number 1852734 v 0to.

Article 10 - Applicable law - claim - disputes

The parties agree that this contract is subject  to French law. Contractual information is presented in French; responsibility of CONCIERGE-VIP can not be held liable for non-compliance within a foreign country in which the service is used.

In case of dispute, the French courts and Nice are competent. However, according to the Law on consumption of 17 March 2014, the customer can use a conventional mediation or other alternative means of dispute resolution in case of dispute.
